Scienjoy to Acquire 29.9% Stake in Leader Education for About $13.1 Million

Scienjoy Holding Corporation has agreed to acquire a 29.9% stake in Leader Education Limited for HK$102.69 million, or approximately $13.1 million. The deal is structured through wholly owned subsidiary Scienjoy Innovation Labs, which will acquire 239.2 million Leader Education shares from controlling shareholder Shuren Education Limited. Leader Education provides private higher education services in China, operates Heilongjiang College of Business and Technology, and has invested in two vocational schools since 2021, with its education group spanning four campuses across three locations. Scienjoy plans to explore combining its AI technology with Leader Education's educational resources for course-content development and management, administrative systems, teaching and research.

The deal directly ties an AI technology company to private higher education resources. If completed, it could shift how AI education products enter universities, from external tool procurement toward equity-level resource integration. For schools and teachers, course-content development, administrative systems and teaching-research tools may be the first application areas; for AI education product providers, university channels may increasingly depend on capital and resource partnerships. The transaction remains subject to due diligence, regulatory consents and related-party transaction determination, so the actual scope and effects of integration are not yet verifiable. If completed, Leader Education's universities and vocational schools could become deployment sites for Scienjoy's AI education tools, affecting how course content and administrative systems are procured. The related-party transaction determination and Hong Kong Stock Exchange listing conditions could delay or alter the transaction timeline, affecting the pace of AI and university resource integration.
